These Terms and Conditions (“Terms”) govern access to and use of all websites, mobile applications, partner portals, customer portals, dashboards, software platforms, digital tools, and services (collectively, the “Platforms” and “Services”) operated by Udyog Seva Kendra Financial Services Private Limited (“USK”, “Company”, “we”, “our”, or “us”).
By accessing, registering on, or using any of the Platforms or Services in any manner, whether as a customer, partner, channel partner, associate, agent, referrer, or any other user (collectively, “User”, “you”, or “your”), you acknowledge that you have read, understood, and unconditionally agreed to be bound by these Terms, including all updates made from time to time.
Company & Applicability
Udyog Seva Kendra Financial Services Private Limited is engaged in providing financial services, facilitation services, advisory support, partner-based services, and technology-enabled solutions to businesses and individuals in India and across the world, subject to applicable laws and internal policies.
These Terms apply to all Users accessing or using any Platform or Service of the Company.
Nature & Scope of Services
- The Company acts as a service provider, facilitator, distributor, referrer, or technology platform, as applicable.
- The Company does not guarantee approval, sanction, disbursement, pricing, timelines, or outcomes unless expressly confirmed in writing.
- Services may vary based on eligibility, regulatory requirements, jurisdiction, and internal risk assessment.
Partner & Channel Partner Responsibilities
- Partners may share potential customer leads strictly for the purpose of availing Company services.
- Partners confirm that customers whose data is shared have provided informed consent for sharing their personal and business information with the Partner and the Company.
- Channel Partners shall not participate in execution, processing, or decision-making activities unless expressly authorized in writing.
- Channel Partners shall not make any assurance, representation, promise, or commitment on behalf of the Company.
- Any false commitment or misrepresentation shall be the sole responsibility of the Partner.
Customer Consent & Data Sharing
- Users expressly agree that their information, data, and documents are stored on digital platforms and may be shared with relevant stakeholders, partners, service providers, financial institutions, and regulatory authorities for service delivery.
- The Company does not control or take responsibility for independent actions of third-party stakeholders.
Data Privacy, Confidentiality & Usage Restrictions
- Partners and Users shall respect the confidentiality and privacy of customer data.
- Customer data shall not be used for any purpose other than providing Company-authorized services.
- Users shall not sell, copy, reuse, distribute, or exploit any data accessed through the Platforms.
- Any misuse of customer data shall be solely attributable to the User responsible.
Offers, Schemes, Pricing & Commissions
- All offers, schemes, pricing, incentives, commissions, and benefits are at the sole discretion of the Company.
- The Company may modify, withdraw, suspend, or discontinue any offer or scheme at any time, with or without notice, even after communication to Users.
- No User shall claim any right, entitlement, or continuity of any offer or scheme.
Platform Availability, Development & Technical Limitations
- The Platforms are under continuous development, enhancement, and maintenance.
- Users may experience downtime, errors, delays, incorrect data, partial information, or technical issues.
- The Company shall not be liable for any loss or damage arising due to system limitations or technical errors.
Accuracy, Updates & Reliance on Information
- All information, data, advertisements, calculators, content, and updates on the Platforms are indicative and subject to change without notice.
- Users must consult the Company before relying on any Platform information.
- The Company shall not be responsible for decisions taken solely based on Platform content.
Ownership & Intellectual Property Rights
- All Platforms, content, software, logos, trademarks, data, processes, and materials are the exclusive property of the Company.
- No User shall claim ownership or intellectual property rights over any content.
- Unauthorized use, reproduction, or distribution is strictly prohibited.
Confidential Information & Non-Disclosure
- Users shall not share or disclose Company platforms, applications, internal policies, procedures, pricing, workflows, training materials, or operational information with any third party.
- Any breach may result in immediate termination and legal action.
Prohibited Activities
Users shall not:
- Misuse Platforms for fraudulent, illegal, or unethical activities
- Provide false or misleading information
- Impersonate the Company or its representatives
- Attempt unauthorized access, reverse engineering, data scraping, or system manipulation
- Use the Platforms in violation of applicable laws
Third-Party Services & Links
- Platforms may contain links or integrations with third-party services.
- The Company does not control and is not responsible for third-party content, policies, or actions.
Limitation of Liability
- All Users access and use the Platforms at their own risk.
- The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages.
- The Company shall not be responsible for losses caused by misconduct of any User, Partner, or third party.
Indemnity
Users agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates against any claims, losses, damages, liabilities, or expenses arising from:
- Breach of these Terms
- Misuse of Platforms or data
- Violation of laws
- False commitments or representations made by Users
Suspension & Termination
- The Company may suspend or terminate User access at its sole discretion without notice.
- Termination shall not affect accrued rights or obligations.
Amendments & Updates
- These Terms may be updated, modified, or replaced from time to time.
- It is the User’s responsibility to regularly review the updated Terms.
- Continued use of the Platforms constitutes acceptance of revised Terms.
Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Courts having jurisdiction over the Company’s registered office shall have exclusive jurisdiction.
